END USER LICENSE AGREEMENT

Product: Supply Logic 365 (“Software” or “Supply Logic 365”)
- ACCEPTANCE OF AGREEMENT
This End User License Agreement (“EULA”) is a legal agreement between Directional Pte. Ltd., a company incorporated in Singapore (“Directional”, “we”, “us” or “our”), and the customer or organization accepting this EULA (“Customer”, “you” or “your”).
This EULA governs the Customer’s purchase, installation, access to and use of Supply Logic 365.
By signing an order form, quotation, subscription agreement or other commercial document referencing this EULA, or by installing, accessing or using Supply Logic 365, the Customer agrees to be bound by this EULA.
If the Customer does not agree to this EULA, the Customer must not install, access or use Supply Logic 365.
- DESCRIPTION OF SUPPLY LOGIC 365
Supply Logic 365 is a software solution designed to support ship suppliers, maritime suppliers and related maritime businesses.
Depending on the edition, modules and configuration purchased, Supply Logic 365 may provide functionality including:
- Customer and account management
- Vessel management
- Vessel and port information
- Ship supplier quotation management
- Sales order processing
- Purchase and procurement management
- Supplier management
- Inventory management
- Warehouse management
- Delivery and logistics management
- Proof of delivery
- Pricing and quotation management
- Document management
- Reporting and business intelligence
- Workflow and approval processes
- Integration with Microsoft Dynamics 365 Business Central
- Other functionality described in the applicable product documentation
The actual functionality available to the Customer will depend on the licensed edition, modules, subscription, configuration and integrations purchased.
- LICENSE GRANT
Subject to payment of all applicable fees and compliance with this EULA, Directional grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable license to access and use Supply Logic 365 during the applicable subscription term.
The license is granted solely for the Customer’s internal business operations.
The Customer may permit its authorised employees, contractors and representatives to use the Software provided that:
- such persons are authorised by the Customer;
- their use is for the Customer’s internal business purposes; and
- use remains within the applicable licensed quantities and restrictions.
No ownership rights in the Software are transferred to the Customer.
- SUBSCRIPTION AND LICENSING
Supply Logic 365 may be licensed on a subscription, user, company, environment, module or usage basis.
The applicable quotation or order may specify:
- Number of users
- Number of companies or legal entities
- Number of Business Central Environments
- Licensed modules
- Subscription term
- Transaction limits
- Storage limits
- Support level
- Integration requirements
- Other applicable usage limits
The Customer must not exceed the licensed quantities or usage limits.
Directional may use technical, administrative or contractual controls to monitor and enforce licensing requirements.
Additional users, modules, companies, environments or usage may require additional fees.
- MICROSOFT DYNAMICS 365 BUSINESS CENTRAL
Supply Logic 365 is designed to operate with Microsoft Dynamics 365 Business Central.
The Customer is responsible for obtaining and maintaining valid Microsoft licenses, subscriptions, accounts and permissions required to operate Business Central and any related Microsoft services.
Supply Logic 365 does not grant the Customer any license or right to use Microsoft Dynamics 365 Business Central.
Microsoft licensing is governed by Microsoft’s applicable licensing agreements and product terms. Microsoft states that Business Central licenses are purchased through the Cloud Solution Provider (CSP) channel and offers different licensing types including Essentials, Premium and Team Member.
Directional is not responsible for changes to Microsoft’s licensing models, pricing, product functionality or service availability.
- IMPLEMENTATION AND PROFESSIONAL SERVICES
Supply Logic 365 may be implemented or configured by Directional, an authorized Microsoft Dynamics partner or another authorized implementation provider.
Implementation services may include:
- Installation and deployment
- Business Central extension deployment
- System configuration
- Data migration
- User setup
- Workflow configuration
- Integration
- Testing
- Training
- Go-live support
Implementation, consulting, customization and professional services are separate from the Software license unless expressly included in the applicable quotation or order.
- CUSTOMER RESPONSIBILITIES
The Customer is responsible for:
- Providing accurate information required for implementation
- Maintaining required Microsoft and third-party licenses
- Managing authorized users
- Protecting user credentials
- Configuring appropriate user permissions
- Maintaining suitable internet and network connectivity
- Maintaining the accuracy of Customer Data
- Reviewing system outputs before relying on them
- Maintaining appropriate backups where applicable
- Reviewing and approving integrations
- Complying with applicable laws and regulations
The Customer remains responsible for business decisions, financial decisions and operational decisions made using information generated by Supply Logic 365.
- ACCEPTABLE USE
The Customer must use Supply Logic 365 only for lawful business purposes.
The Customer must not:
- Copy or reproduce the Software except as expressly permitted;
- Sell, lease, rent, sublicense or distribute the Software to unauthorized parties;
- Reverse engineer, decompile or disassemble the Software except where expressly permitted by mandatory law;
- Modify or create derivative works of the Software without Directional’s written permission;
- Remove proprietary notices;
- Circumvent licensing or security controls;
- Use the Software to develop a competing product;
- Provide access to unauthorized third parties;
- Use the Software for unlawful, fraudulent or malicious activities;
- Interfere with the security, integrity or availability of the Software;
- Attempt to gain unauthorized access to another customer’s environment; or
- Use automated means to access the Software except where expressly supported or authorized.
Nothing in this section prohibits activity that cannot legally be restricted under applicable mandatory law.
- INTELLECTUAL PROPERTY
Supply Logic 365 and all related intellectual property are and remain the property of Directional or its applicable licensors.
This includes, without limitation:
- Source code
- Object code
- Software architecture
- Database structures
- Workflows
- Interfaces
- User interface designs
- Algorithms
- Reports
- Documentation
- Product designs
- Templates
- Methods
- Know-how
- Trademarks
- Logos
- Product concepts
- Improvements and enhancements
The Customer receives only the limited license granted under this EULA.
The Customer does not acquire ownership of Supply Logic 365 through payment of subscription, implementation or professional service fees.
- CUSTOMER DATA
“Customer Data” means information, records, documents and other data submitted, uploaded, stored or processed by the Customer through Supply Logic 365.
The Customer retains ownership of its Customer Data.
Directional does not acquire ownership of Customer Data.
The Customer grants Directional a limited, non-exclusive right to access, process, transmit, store and use Customer Data only as reasonably necessary to:
- Provide Supply Logic 365;
- Provide implementation services;
- Provide technical support;
- Maintain and secure the Software;
- Perform backups where applicable;
- Troubleshoot technical issues;
- Provide requested services; and
- Comply with applicable law.
Directional will not sell Customer Data to third parties.
- DATA PROTECTION AND PRIVACY
Directional will implement reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, loss, alteration or disclosure.
Where Supply Logic 365 processes personal data on behalf of the Customer, the parties will comply with applicable data protection requirements.
For Singapore customers, this includes applicable requirements under the Personal Data Protection Act 2012 (PDPA).
The Customer is responsible for:
- Determining the purposes for which personal data is processed;
- Obtaining required consent or establishing another lawful basis for processing;
- Providing appropriate privacy notices;
- Setting appropriate access controls; and
- Responding to applicable data subject requests.
Directional’s applicable Data Privacy Statement and any separately executed data processing agreement form part of the party’s privacy framework where applicable.
- THIRD-PARTY SERVICES AND INTEGRATIONS
Supply Logic 365 may integrate with or depend upon third-party services, including:
- Microsoft Dynamics 365 Business Central
- Microsoft Azure
- Microsoft Power Platform
- Payment services
- Banking systems
- Mapping services
- Communication platforms
- Shipping and logistics systems
- Warehouse systems
- Document management systems
- Other third-party applications
Third-party services may be governed by separate terms.
Directional is not responsible for third-party services outside Directional’s reasonable control.
If a third-party service changes, becomes unavailable or discontinues functionality, Directional may modify the relevant integration or provide an alternative where commercially reasonable.
Additional development work may incur additional fees.
- SOFTWARE UPDATES
Directional may release:
- Bug fixes
- Security updates
- Performance improvements
- Feature enhancements
- New functionality
- Compatibility updates
- New modules
- Version upgrades
Updates may be required to maintain compatibility with supported Microsoft Dynamics 365 Business Central versions or other third-party services.
Directional may modify or discontinue features where reasonably necessary for technical, security, regulatory or commercial reasons.
- SUPPORT AND MAINTENANCE
Support and maintenance will be provided according to the support package purchased by the Customer.
Support may include:
- Technical assistance
- Error investigation
- Troubleshooting
- Product guidance
- Bug fixes
- Software updates
- Compatibility assistance
Unless expressly included in the applicable support agreement, support does not include:
- Customer-specific development
- Major system modifications
- Data cleansing
- Third-party application support
- Microsoft licensing services
- Hardware support
- Network administration
- Major Business Central implementation services
Additional professional services may be charged separately.
- SERVICE AVAILABILITY
Where Supply Logic 365 is provided as a cloud service, Directional will use commercially reasonable efforts to maintain service availability.
Availability may be affected by:
- Planned maintenance
- Emergency maintenance
- Microsoft service availability
- Third-party service availability
- Internet connectivity
- Customer infrastructure
- Cybersecurity incidents
- Force majeure events
Any specific uptime commitment will be governed by a separate Service Level Agreement (“SLA”).
- FEES AND PAYMENT
The Customer agrees to pay the fees stated in the applicable quotation, order form, subscription agreement or invoice.
Fees may include:
- Subscription fees
- User license fees
- Implementation fees
- Integration fees
- Support fees
- Maintenance fees
- Hosting fees
- Additional module fees
- Professional service fees
Unless otherwise stated, all applicable taxes, duties and government charges are payable by the Customer.
- SUBSCRIPTION RENEWAL
Unless otherwise stated in the applicable order, subscriptions may automatically renew for successive subscription periods.
Directional may notify the Customer of applicable renewal fees.
The Customer must provide cancellation notice in accordance with the applicable order or subscription agreement.
Any renewal pricing may be adjusted by Directional upon reasonable notice.
- SUSPENSION
Directional may suspend access to Supply Logic 365 where reasonably necessary if:
- Fees remain unpaid;
- The Customer materially breaches this EULA;
- The Customer exceeds licensed usage;
- Continued access creates a security risk;
- Suspension is required by law; or
- Suspension is necessary to protect the Software, Directional or other customers.
Where reasonably practicable, Directional will provide prior notice and a reasonable opportunity to remedy the relevant issue.
Suspension for non-payment does not relieve the Customer of its payment obligations.
- TERMINATION
Either party may terminate the applicable subscription in accordance with the applicable commercial agreement.
Directional may terminate the subscription or license if the Customer materially breaches this EULA and fails to remedy the breach within a reasonable period following written notice.
Directional may terminate immediately where continued use of the Software would create a material security, legal or regulatory risk.
Upon termination:
- The Customer’s license ends;
- The Customer must cease using Supply Logic 365;
- The Customer must cease use of Directional’s proprietary materials;
- Outstanding amounts become payable subject to applicable law and contract terms; and
- The Customer must return or destroy Directional confidential information where reasonably required.
- CUSTOMER DATA AFTER TERMINATION
Following termination, Directional will provide reasonable assistance for the export or retrieval of Customer Data where technically available and subject to the applicable commercial agreement.
Unless otherwise agreed, Customer Data may be retained for a reasonable period following termination to facilitate transition and satisfy legal, regulatory or security requirements.
After the applicable retention period, Customer Data may be deleted or anonymized.
Additional data extraction, migration or transition services may be charged separately.
- LIMITED WARRANTY
Directional warrants that Supply Logic 365 will substantially perform the material functions described in the applicable product documentation when used in accordance with this EULA.
If the Software materially fails to meet this warranty, Directional will use reasonable efforts to correct the relevant defect.
Where correction is not commercially reasonable, Directional may provide an appropriate alternative remedy.
This warranty does not cover issues caused by:
- Customer modifications;
- Third-party software;
- Unsupported configurations;
- Incorrect data;
- Customer infrastructure;
- Misuse;
- Failure to follow documentation; or
- Microsoft or other third-party service changes.
- DISCLAIMER
Except for the express warranty stated in this EULA, Supply Logic 365 is provided on an “as available” basis to the maximum extent permitted by law.
Directional does not warrant that:
- The Software will be completely error-free;
- The Software will operate without interruption;
- Every feature will meet every Customer requirement;
- Third-party integrations will remain continuously available;
- Microsoft services will remain continuously available;
- The Software will prevent every cybersecurity incident; or
- Use of the Software will produce any particular financial or business result.
The Customer remains responsible for validating transactions, reports, calculations, pricing, inventory information, financial information and other business outputs before relying upon them.
- LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential or punitive damages, including:
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of goodwill;
- Loss of anticipated savings;
- Loss of business interruptions; or
- Loss of data, except to the extent such loss arises from a breach for which liability cannot lawfully be excluded.
- 24. Limitation of Liability
To the maximum extent permitted by applicable law, Directional will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of anticipated savings or business interruption.
Subject to applicable law, Directional’s aggregate liability arising out of or relating to Supply Logic 365, whether in contract, tort, negligence or otherwise, will not exceed the total fees actually paid by the Customer to Directional for Supply Logic 365 during the three (3) months immediately preceding the event giving rise to the claim.
The liability limitation in this section applies to all claims arising out of or relating to Supply Logic 365, regardless of the legal basis of the claim.
Nothing in this EULA excludes or limits liability that cannot legally be excluded or limited under applicable law.
Where Singapore law applies, any exclusion or limitation of liability remains subject to applicable statutory requirements, including applicable reasonableness requirements under the Unfair Contract Terms Act 1977.
- INDEMNIFICATION
The Customer agrees to indemnify Directional against third-party claims arising directly from:
- Unlawful use of Supply Logic 365 by the Customer;
- Customer Data that infringes third-party rights;
- Customer’s violation of applicable law;
- Unauthorized use of the Software;
- Customer’s material breach of this EULA; or
- Third-party systems or services controlled by the Customer.
The indemnifying party will be given reasonable notice and opportunity to participate in the defense of any applicable claim.
- CONFIDENTIALITY
Each party agrees to protect confidential information received from the other party and to use such information only for purposes related to the business relationship.
Confidential information does not include information that:
- Is publicly available;
- Was lawfully known before disclosure;
- Is independently developed;
- Is lawfully obtained from another source; or
- Must be disclosed by law or lawful authority.
Confidentiality obligations will survive termination of this EULA.
- LICENSE VERIFICATION AND AUDIT
Directional may reasonably verify the Customer’s compliance with its Supply Logic 365 license.
The Customer agrees to provide reasonable information required to verify:
- Licensed users;
- Licensed companies;
- Licensed environments;
- Licensed modules; and
- Applicable usage quantities.
Any verification will be conducted during reasonable business hours and in a manner intended to minimize disruption.
If a material license underpayment is identified, the Customer will pay the applicable outstanding fees and reasonable costs associated with correcting the licensing discrepancy.
- FORCE MAJEURE
Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- War;
- Terrorism;
- Government actions;
- Telecommunications failures;
- Internet outages;
- Major cybersecurity incidents;
- Pandemics;
- Labour disputes;
- Cloud infrastructure failures; or
- Failures of third-party infrastructure.
The affected party will use reasonable efforts to mitigate the impact.
- ASSIGNMENT
The Customer may not assign or transfer this EULA or its license rights without Directional’s prior written consent, except where permitted as part of a merger, restructuring or sale of substantially all relevant business assets.
Directional may assign this EULA to an affiliate, successor or purchaser of substantially all of the relevant business or assets.
- GOVERNING LAW AND JURISDICTION
This EULA is governed by the laws of Singapore.
The parties submit to the exclusive jurisdiction of the courts of Singapore in relation to disputes arising out of or relating to this EULA, unless the applicable commercial agreement provides otherwise.
- CHANGES TO THIS EULA
Directional may update this EULA from time to time to reflect:
- Changes to Supply Logic 365;
- Changes to applicable technology;
- Security requirements;
- Changes in applicable law; or
- Changes in Directional’s business practices.
Material changes will be communicated through reasonable means.
Unless otherwise required by law or the applicable commercial agreement, continued use of Supply Logic 365 following the effective date of an updated EULA constitutes acceptance of the updated terms.
- SEVERABILITY
If any provision of this EULA is determined to be invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
- WAIVER
Failure by either party to enforce any provision of this EULA will not constitute a waiver of that provision or the right to enforce it subsequently.
- ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
This EULA, together with the applicable quotation, order form, subscription agreement, SLA, support agreement and other documents expressly incorporated by reference, constitutes the agreement governing the Customer’s use of Supply Logic 365.
In the event of conflict:
- A separately signed agreement between Directional and the Customer will prevail;
- The applicable order form will govern specific commercial terms;
- The applicable SLA will govern service-level commitments;
- Any applicable data processing agreement will govern data protection matters;
- This EULA will govern Software licensing and usage rights; and
- Product documentation will govern technical functionality.
- NO PARTNERSHIP OR AGENCY
Nothing in this EULA creates a partnership, joint venture, employment relationship or agency relationship between Directional and the Customer.
Neither party has authority to bind the other unless expressly authorized in writing.
- NOTICES
Formal notices relating to this EULA must be provided in writing to the contact details specified in the applicable order form or subscription agreement.
Notices may be delivered by email, registered mail or other agreed communication methods.
- ACCEPTANCE
By signing an applicable order form, purchasing a subscription, installing, accessing or using Supply Logic 365, the Customer acknowledges that it has read, understood and agreed to this EULA.
